An interactive session and discussion with board presidents/chairs on their roles, responsibilities, challenges and opportunities.

 

Officer Responsibilities and Duties (Mike Boland or Chris Kopka)

An interactive session and discussion with directors on the roles, responsibilities, challenges and opportunities of being an officer and/or a director.

 

12:00 noon   Lunch

 

1:00 pm        Introduction to Governance (Mike Boland and Greg McKee)

                        Greg will discuss governance topics for directors.

 

2:30 pm         Break

 

3:00 pm        Director and Officer insurance: What should you know?
                      (Bob Schueler, VP of Agri-Business Insurance Services and TBD Attorney)

TUESDAY, JANUARY 8: Advanced Governance Topics

8:00 am          Advanced Governance Topic (Mike Boland and Chris Kopka)

A discussion of roles and responsibilities for directors and CEOs and how regulatory agencies look at boards of directors. Chris has worked with mergers and acquisitions as well as governance topics throughout his career. Examples and small group exercises will be used to motivate this topic.

10:00 am        Merger conversations – (Calvin Aarons, board chairman of Farmward)

                          Calvin will share his thoughts about mergers and what has worked for his cooperative in

                           recent years. Farmward Cooperative™ was formed with the merger of two strong, long-

                           standing local cooperatives: Harvest Land and Co-op Country Farmers Elevator.
